These terms define the conditions of use of the electronic signature service provided by Homellya.

They supplement the platform’s Terms of Use and are presented to the signer before their signature is finalized.

1. Purpose

  • Homellya enables certain rental management documents to be signed electronically, including leases, amendments, inspection reports, certificates and supporting documents.
  • The service is provided directly by Homellya, which manages the signature process, sends the one-time code by email, finalizes the document and compiles the associated proof file.

2. Signature level

  • Unless otherwise indicated before signing, the process offered by Homellya constitutes a simple electronic signature within the meaning of the European eIDAS Regulation.
  • An electronic signature may not be denied legal effect or admissibility as evidence solely because it is in electronic form.
  • Its evidential value nevertheless depends on the circumstances and on the elements establishing, in particular, the signer’s identity and consent, the link between the signature and the signed document, and the document’s integrity.
  • A simple electronic signature does not automatically benefit from the presumption of reliability attached to a qualified electronic signature.

3. Signature process

The procedure includes the following steps:

  • receipt of an invitation to sign at the signer’s email address;
  • access to and review of the document;
  • verification of information relating to the signer;
  • authentication using a one-time code sent to the email address associated with the signer;
  • review of these terms;
  • express confirmation of the intention to sign;
  • recording of the signature;
  • finalization and provision of the signed document.

The procedure is considered finalized only after the signer’s confirmation has been recorded.

4. Document review and consent

Before signing, the signer must read the entire document and verify the accuracy of the information it contains.

By validating their signature, the signer confirms that they:

  • were able to review the entire document;
  • verified the information concerning them;
  • have read these terms;
  • agree to the use of an electronic signature process;
  • expressly intend to sign the document presented;
  • accept the obligations arising from the signed document.

The signer may stop the procedure until their final confirmation has been recorded.

5. Identification and security

  • The signer must provide an accurate, personal email address to which they have effective access.
  • The signature link and one-time code sent by email are personal and confidential. They must not be disclosed or made accessible to a third party.
  • The signer is responsible for the confidentiality and security of their email account.
  • Any unauthorized use, compromise of the email address or suspected identity theft must be reported to Homellya as soon as possible.
  • Use of the signature link and validation of the one-time code contribute to identifying and authenticating the signer. However, by themselves, they do not constitute certification of the signer’s civil identity.

6. Traceability and proof file

Homellya compiles and retains a proof file associated with each electronic signature procedure.

This file includes in particular:

  • the identity and contact details provided by the signer;
  • the email address used for the procedure;
  • the unique reference of the signature procedure;
  • the dates and times of the various steps;
  • the IP address and certain technical information relating to the connection;
  • the sending of the invitation to sign;
  • the sending and validation of the one-time code;
  • events from the signature process;
  • the review or provision of the document;
  • the consent expressed by the signer;
  • the version of these terms brought to their attention;
  • the version and digital fingerprint of the document presented;
  • the date and time of final confirmation;
  • the finalized document;
  • its signature status.
  • The one-time code is not retained in plain text. Homellya retains only the technical elements establishing that it was issued and validated.
  • The proof file makes it possible to reconstruct the procedure and establish the circumstances in which the signature was completed, particularly in the event of a dispute.
  • It is retained for the period necessary to establish proof and defend the parties’ rights, in accordance with the periods specified in Homellya’s Privacy Policy. The periods applied must be proportionate to the intended purpose and must not exceed what is necessary.

7. Document integrity

  • The signature is associated with a specific version of the document.
  • Homellya uses, in particular, a digital fingerprint designed to link the signature procedure to the exact version of the document presented to the signer.
  • This fingerprint makes it possible to detect a subsequent modification of the document.
  • The electronic record must be created and retained under conditions that make it possible to identify the person from whom it originates and guarantee its integrity.
  • Any modification made to the document after the signature is finalized may break the link with the signature and the associated proof elements.
  • When a signed document must be amended, a new version must be created and, where necessary, submitted to a new signature procedure.

8. Provision and retention of the document

  • Once the procedure is finalized, the signed document is made available to the parties in their Homellya space or sent to them by email or any other appropriate means.
  • Each party is encouraged to download and retain their copy of the document on a durable medium.
  • Deletion of a Homellya account does not relieve the parties of the need to retain documents required to defend their rights and perform their obligations.

9. Responsibility of the signature initiator

Homellya directly provides the technical electronic signature service, manages the process, generates the finalized document and compiles the associated proof file.

The person who prepares, generates or sends the document remains responsible for:

  • the accuracy of the information it contains;
  • its suitability for the relevant circumstances;
  • the identity and contact details entered for the signers;
  • the legal capacity of the persons asked to sign;
  • the existence of the authority required to sign on behalf of a third party or legal entity;
  • selecting a signature level appropriate to the nature and implications of the document;
  • compliance with the legal or contractual obligations applicable to the document.
  • Homellya cannot be held liable for a signature affixed to a document containing incorrect, incomplete or unsuitable information supplied or approved by a user.
  • Homellya does not provide legal advice and does not systematically verify the validity, compliance or appropriateness of the content of documents submitted for signature.

10. Documents requiring specific formalities

  • Certain instruments may be subject to specific formalities or require a signature level higher than a simple electronic signature.
  • The user initiating the procedure is responsible for verifying that the simple electronic signature offered by Homellya is appropriate for the nature of the document concerned.
  • Where a law, regulation, public authority, court or agreement requires an advanced or qualified electronic signature or any other specific formality, the service offered by Homellya may not be sufficient.

11. Incident, interruption or failure of the procedure

When the procedure is interrupted before the signer’s final confirmation is recorded, the document is not considered signed through Homellya.

This may occur in particular in the event of:

  • expiration of the signature link;
  • failure to validate the one-time code;
  • abandonment of the process;
  • refusal to sign;
  • a technical incident preventing the confirmation from being recorded;
  • cancellation of the procedure by the person who initiated it.
  • A new invitation or procedure may be created where possible.
  • If an incident occurs after final confirmation, the signature status is determined from the events recorded in the proof file.
  • Mere receipt of an invitation email or one-time code does not constitute signature of the document.

12. Disputing a signature

Any dispute relating to a signature procedure must be submitted to Homellya as soon as possible.

Where possible, the person concerned must indicate:

  • the document concerned;
  • the procedure reference;
  • their identity;
  • the email address used;
  • the reasons for the dispute;
  • any information useful for its review.
  • Homellya may examine the elements in the proof file to reconstruct the procedure.
  • The retention and production of a proof file does not prejudge the assessment that may be made by a court of competent jurisdiction.

13. Personal data

Data relating to electronic signatures is processed in order to:

  • provide the signature service;
  • identify and authenticate signers;
  • secure the process;
  • send invitations and one-time codes;
  • ensure the integrity and traceability of operations;
  • compile and retain the proof file;
  • prevent fraudulent use;
  • manage incidents and any disputes;
  • defend the rights of Homellya and the parties.

14. Changes to these terms

  • Homellya may amend these terms to take account, in particular, of changes to the service, its technical processes or applicable regulations.
  • The version applicable to a procedure is the version presented to the signer before their final confirmation.
  • The date, time and version of the accepted terms are recorded in the proof file.
